The Situation:
Our client wanted to purchase a portfolio of 15 hotels in 4 states, with a total purchase value over $100 million. Our client wanted ZMA Legal to represent them through the negotiation, drafting and closing of the properties.
What We Did:
We drafted and negotiated the asset purchase agreement. Once under contract, we performed due diligence on the existing contracts, property information, lease terms, cataloging available assets, and the transferability of the brand. Once past due diligence, we created new entities to limit liability, negotiated and reviewed loan documents, drafted attorney opinion letters, negotiated lease assignments and new leases as well as purchased land where necessary, assisted in franchise applications, and drafted operating agreements for the new entities.
