Our client was a manufacturing company. As an international distributor, our client had concerns about legal issues facing them. Of main concern to our client were product branding and liability.
What We Did:
We audited the company to pinpoint areas of legal weakness. We discovered the company had not been properly incorporated and did not have the correct ownership structure. This could potentially cripple the limited liability protection and could cause issues if one or more of the shareholders were to perish. We corrected the issues with the company before any serious problems arose by drafting new bylaws, shareholder agreements and ancillary documents. Next, we drafted and implemented terms of service and privacy policies and drafted manufacturing agreements to tighten the relationships between the company and its customers, distributors and vendors. Finally, we protected the brands and logos owned by the company by filing for trademark protection and properly assigning rights from the individuals who created them to the company.
